JOB SPECIFICATION

Job Title Global Legal Team Member – Deputy Manager

Role Summary :

  1. Responsible for all of company’s legal issues across numerous jurisdiction including USA, UK, Hong Kong and Singapore.
  2. Undertaking the entire contract management aspect and ensuring agreement sign off before business starts.
  3. Support Business/Sales in development activity by advising on regulatory compliance
  4. Addressing interdepartmental queries from sales, product, commercial, Customer Support etc.
  5. Addressing customer complaints from various Authorities such as FCC, ATO, OFTA, etc
Duties and Responsibilities :

Contract Management/Negotiation:
  1. Releasing Standard Drafts to the Sales and Business Team
  2. Drafting new agreements when a new business opportunity is initiated.
  3. Reviewing and vetting of reviewed drafts received from Customers/Vendors and negotiating thereon.
  4. To ensure that the negotiations are in line with Company policies.
  5. Finalizing agreements and ensuring proper & timely execution of the same.
  6. Filing of executed contracts in the data base and updating the database as and when required.
  7. To ensure that the all provisions of the contract are complied with.
  8. Tracking the agreement expiry and ensuring timely renewal of contracts before they get expired.
  9. Providing copies of executed contacts to various teams as and when required.
  10. Undertaking amendments and assignment to executed contracts as and when required.
Various types of agreements with which the candidate will have to deal with are as below
  1. International Long Distance (Wholesale): International Interconnection Agreements, Non Disclosure Agreement, Volume Commitment Agreements, International Toll Free Agreements.
  2. International Long Distance (Retail): Co Promotion Agreements; Software License Agreements, Affiliate Marketing Agreements.
  3. NLD - Agreements for leasing Dark Fibre/Duct on IRU basis. Agreements for leasing bandwidth, Toll free numbers.
  4. Others - Agreements on other telecommunications services ie SBN, SMS transit etc, Leave and license.
Customer complaints and legal notices:
  1. Ensuring proper & timely replies, after due consultation with the concerned teams, to Customer complaints received from regulatory bodies.
  2. Advising the product team on how to resolve the complaints
  3. Drafting Collection notices for recovery of dues from Customer.
  4. Drafting other miscellaneous notices like, termination suspension etc.

Regulatory, Arbitration and Litigation.
  1. To ensure that the customers/vendors have all necessary licenses mandated by the regulatory bodies.
  2. To study and analyze various regulatory documents. To this end web based searches relating to license requirement in various countries across the world.
  3. To work in close coordination with external lawyers in various regulatory, arbitration and litigation matters.
  4. To work in close coordination with internal teams such as BRS, Commercial, Business, Customer Care, etc.
Drafting below documents for uploading on company website for telecommunications product offered through various countries such as USA, Canada, UK, Australia, New Zealand, Hong Kong, Singapore & EU countries: Customer Service Agreement (CSA), Website Terms & Conditions, Privacy Policy, Code of Conduct, Disclaimer, User Guide and CAF T &C.

Key Performance Indicators :
  1. Ensuring timely review of agreements and release of the same to the concerned teams.
  2. Gathering information on license requirements and ensuring regular compliance.
  3. Ensuring that the Agreements are as per company policies and deviations, if any are made only after obtaining necessary approvals.
  4. Providing sound advice to various teams on contractual and regulatory concerns.
  5. Manage and maintain all contracts and other legal documents in the legal database and update regularly
Contact with Others : 

Internal Intra Functional - Commercial, Sales, Technical, Product, BRS, Strategy, Customer Ops and Service Innovations.
Intra Functional - With members of the Global legal team and Corporate Legal Team in DAKC
External Vendors and Customers on a case to case basis for contract negotiation & Finalization.

Total size of the team: Global Legal team comprises of about 10-15 lawyers situated in different locations worldwide.
In India the Global legal team presently comprises of 2 members


Qualification & Experience 

Educational / Academic Qualification Essential: Laws graduate with either a 3 years LLB degree or five years integrated Law degree ie. BBALLB or BALLB etc) from a reputed laws school.

Candidate Specification: 
  1. Candidate should have at least 2 years of experience in legal function in any reputed company. Experience in telecom sector will be an added advantage and preference will be given to such candidate.
  2. Candidate must have willingness to learn, adapt and work under stress.
  3. Candidate must be confident and pro active.
Technical/Functional Skills: ( Use "E" to denote Essential and "D" for Desirable) 
    E- Good understanding of Business laws in India.
    E - Good drafting skills
    E - Working knowledge on various telecommunications related regulation,
    E - Knowledge of Microsoft Office Word, Excel & Power Point
Competency & Behavioral Skills: ( Use "E" to denote Essential and "D" for Desirable) 
    E- Resulted oriented - Candidate should be able to give timely results under pressure.
    E- Must be a good team player. Should be able to work as a team and build good relationship with all internal teams.
    E- Must be a good negotiator and must possess excellent communication skills.
    E - Must be fluent in English.
    E - Process orientation - Candidate should always adhere to process and procedures laid down by the company.
